1. Agreement to terms

By accessing or using Launchet.ai (the "Service"), operated by Prodision, LLC, a Texas limited liability company ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

By creating an account, clicking "Create Account," or using any social login option (Google, LinkedIn, Apple), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of service

Launchet.ai is an AI-powered business idea evaluation and planning platform. The Service provides business idea scoring, market analysis, competitive intelligence, financial projections, and business plan generation. The Service is built on "The 12 Principles for Success in Launching Your New Business" by Sam Hijazin.

Important disclaimer: The Service provides AI-generated analysis and recommendations for informational and educational purposes only. It does not constitute professional business advice, financial advice, legal advice, or investment advice. You should consult qualified professionals before making any business, financial, or legal decisions.

3. Account registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years old to create an account and use the Service. You may not create multiple accounts to circumvent usage limits or other restrictions.

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms, or if your account shows signs of fraud, abuse, or unauthorized use.

4. Subscription plans and payment

4.1 Free tier

The Service offers a free tier with limited features and usage. Free tier limits are subject to change at our discretion. We may modify, reduce, or eliminate the free tier at any time.

4.2 Paid plans

Paid subscription plans ("Plans") provide access to additional features and higher usage limits. Plan details, pricing, and features are described on our pricing page. We reserve the right to change pricing with 30 days' notice to existing subscribers.

4.3 Billing and renewal

Paid Plans are billed on a recurring basis (monthly or annually, depending on your selection). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Payment is processed through our third-party payment processor (Stripe). We do not store your credit card information.

4.4 Cancellation and refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. We do not provide refunds for partial billing periods. If you believe a charge was made in error, contact us within 30 days.

5. Acceptable use

You agree not to use the Service to: submit content that is illegal, harmful, threatening, abusive, harassing, or otherwise objectionable; impersonate any person or entity; attempt to gain unauthorized access to the Service or its systems; use automated tools, bots, or scripts to access the Service except as explicitly authorized; interfere with or disrupt the Service or servers; reverse engineer, decompile, or disassemble any part of the Service; use the Service to develop a competing product; or circumvent any usage limits, rate limits, or security measures.

6. Intellectual property

6.1 Our intellectual property

The Service, including its design, features, content, methodology, "The 12 Principles for Success" framework, and all associated intellectual property, is owned by the Company and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service or its methodology without our express written permission.

6.2 Your content

You retain ownership of any business ideas, text, or other content you submit to the Service ("Your Content"). By submitting Your Content, you grant us a limited, non-exclusive license to process, analyze, and store Your Content solely for the purpose of providing the Service to you. We will not share, sell, or publicly disclose Your Content without your permission, except as required by law.

6.3 Generated output

Evaluations, business plans, and other outputs generated by the Service ("Generated Output") are provided for your use. You may use Generated Output for your personal and business purposes. However, the methodology and framework underlying the Generated Output remain our intellectual property.

7. AI and third-party services

The Service uses third-party artificial intelligence models (including but not limited to OpenAI, Google Gemini, Anthropic Claude, and xAI Grok) to generate analysis and content. AI-generated output may contain inaccuracies, errors, or biased information. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content.

Your use of the Service is also subject to the terms and policies of our third-party service providers, including our payment processor (Stripe) and authentication providers (Google, LinkedIn, Apple).

8. Privacy and communications

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

By creating an account, you agree to receive transactional emails necessary for the Service (payment receipts, security alerts, account notifications). These cannot be opted out of. Product activity notifications (feedback received, investor interest) are enabled by default and can be managed in your account settings. Marketing communications (idea progress updates, launch tips, founder insights on building a successful business) are only sent with your explicit opt-in consent and you may unsubscribe at any time.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, reliability, or completeness of any content generated by the Service. We specifically disclaim any warranties regarding the suitability of AI-generated business analysis for any particular purpose.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

You acknowledge that business decisions involve inherent risk, and the Company is not responsible for any business outcomes resulting from your use of the Service or reliance on its output.

11. No financial, investment, or professional advice

The Service is an informational tool, not a professional advisor. The evaluations, scores, financial projections, market analyses, business plans, and all other output generated by the Service are AI-generated estimates intended solely for preliminary informational and educational purposes. They do not constitute, and shall not be construed as, professional business advice, financial advice, investment advice, legal advice, or any other form of professional guidance.

11.1 Scores and evaluations are preliminary information only

All evaluation scores, viability ratings, dimension assessments, and related metrics generated by the Service represent preliminary, AI-generated estimates based on limited information provided by the user. These scores and evaluations are not determinative of business viability or commercial success and shall not be treated as a decision-making event. Specifically:

(a) High scores or favorable evaluations do not guarantee business success, market viability, profitability, or return on investment. A favorable evaluation shall not be interpreted as a recommendation to invest capital, quit employment, incur debt, seek investors, enter into contracts, or make any other financial or business commitment.

(b) Low scores or unfavorable evaluations do not definitively indicate that a business idea lacks merit, viability, or commercial potential. A low score shall not be interpreted as a recommendation to abandon, discontinue, or refrain from pursuing a business idea. The Company bears no liability for business opportunities not pursued, revenue not earned, or potential gains foregone as a result of an unfavorable evaluation.

(c) All output is subject to the inherent limitations of AI analysis, including but not limited to incomplete data, model bias, outdated training data, and the inability to account for the full complexity of market conditions, regulatory environments, competitive dynamics, and individual circumstances.

11.2 Disclaimer of liability for business decisions

To the fullest extent permitted under the laws of the State of Texas and applicable federal law, the Company expressly disclaims all liability for: capital invested in, committed to, or withheld from any business venture based in whole or in part on the Service's output; financial losses, revenue shortfalls, business failure, or lost business opportunities resulting from decisions informed by the Service; investment decisions made by you or any third party (including but not limited to investors, partners, lenders, or co-founders) based on evaluations, scores, or projections generated by the Service; costs incurred in launching, operating, scaling, or discontinuing a business based on the Service's output; any reliance on AI-generated market size estimates, competitive analyses, financial projections, customer analyses, or strategic recommendations, all of which are approximations and not guarantees; and decisions to quit employment, take on debt, commit personal funds, seek investors, enter into leases or contracts, or make other significant personal, financial, or professional commitments based on the Service's output.

11.3 Obligation to seek independent professional counsel

You are solely responsible for your own business, financial, and investment decisions. The Company strongly recommends that you consult with qualified independent professionals — including but not limited to licensed financial advisors, certified public accountants, business attorneys, and industry-specific consultants — before committing capital, entering into agreements, or making significant business decisions. You acknowledge and agree that the Service is not a substitute for independent professional advice and due diligence.

12. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third party's rights.

13. Modifications to the service and terms

We may modify, suspend, or discontinue any part of the Service at any time. We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination, your right to use the Service ceases immediately. You may request a copy of your data within 30 days of termination.

15. Governing law and disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Texas. You agree to waive any right to a jury trial or to participate in a class action.
